1. Parties

These Terms and Conditions ("Terms") govern your use of Azani Field PRO ("the Service"), operated by Azani Management Ltd ("Azani Management", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You are contracting with Azani Management Ltd. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.

2. Acceptance of Terms

By creating an account, accessing, or continuing to use the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Notice. If you do not agree, you must not access or use the Service.

3. Description of Service

Azani Field PRO is a mobile-first construction field management platform providing project management, photo capture with AI tagging, daily reports, task and issue management, fleet and fuel tracking, health and safety tools, team chat, resource planning, inventory, work orders, procurement, and AI-powered features including walkthrough mode, photo analysis, and a research desk.

4. Account & Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it updated. Notify us immediately of any unauthorized use or security breach.

5. Acceptable Use & Misuse

You agree not to misuse the Service, including:

• Using the Service for any unlawful purpose or in violation of any law
• Committing fraud, spam, or deceptive practices
• Infringing the intellectual property rights of others
• Interfering with security, including introducing malware, probing, or scraping
• Reverse engineering, decompiling, or circumventing technical limitations
• Reselling or redistributing access without authorization

6. Intellectual Property

Azani Management Ltd retains all ownership of the Service, including software, documentation, branding, and related intellectual property. You are granted a limited, non-exclusive, non-transferable licence to use the Service within your selected plan.

You retain ownership of content you upload. You grant Azani Management a limited licence to host, process, and transmit your content solely to provide the Service to you.

7. Service Level

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free performance. We may modify, suspend, or discontinue features at any time without notice.

8. Payment & Subscription

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Subscription plans are billed in advance on a monthly or annual basis. You may upgrade or downgrade your plan at any time; changes take effect immediately with proration. If you cancel, access continues until the end of your current billing period.

9. Suspension & Termination

We may suspend or terminate your access to the Service for: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious violations. Upon termination, your data will be retained for 30 days, after which it may be deleted.

10. Disclaimers & Limitation of Liability

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability for any claim arising from the Service is limited to the fees you paid in the preceding 6 months. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill, except where required by law (e.g., fraud, death, or personal injury).

11. AI-Generated Content

The Service uses artificial intelligence to generate descriptions, reports, and analysis from your inputs. AI outputs may be inaccurate or incomplete. You are responsible for verifying accuracy before relying on any AI-generated content. AI-generated content is not suitable for regulated professional advice (legal, engineering, safety) without qualified human oversight.

You are responsible for your prompts and inputs, ensuring you have the rights to any content you upload. We reserve the right to remove or restrict content that violates these Terms or applicable law.

12. Indemnification

You agree to indemnify Azani Management Ltd against claims arising from your content, unlawful use, or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Azani Management Ltd is incorporated, without regard to conflict of law principles.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes. Continued use after changes constitutes acceptance.
